9. DISCLAIMER OF WARRANTIES

These terms do not affect your statutory rights as a consumer which are available to you.

Subject as aforesaid, to the maximum extent permitted by law, Your Business Service Provider Dalight connections excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect or consequential loss whether or not such arises out of any problem you notify to Your Business Service Provider Dalight connections and Your Business Service Provider Dalight connections shall have no liability to pay any money by way of compensation, including without limitation all liability in relation to:

  • Any incorrect or inaccurate information on the website.
  • The infringement by any person of any Intellectual Property Rights of any third party caused by their use of the website or service purchased through the website.
  • Any loss or damage resulting from your use or the inability to use the website or resulting from unauthorised access to, or alteration of your transmissions or data in circumstances which are beyond our control.

11. INDEMNIFICATION

You agree to defend and indemnify Your Business Service Provider Dalight connections from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:

  • Your breach of this agreement or the documents referenced herein.
  • Your violation of any law or the rights of a third party.
  • Your use of the website and services.

12. CHANGES AND TERMINATION

We may modify the website and these terms at any time, at our sole discretion and without notice. You are responsible for keeping yourself informed of these terms. Your continued use of the website constitutes your acceptance of any changes to these terms and any changes will supersede all previous versions of the terms. Unless otherwise specified, all changes to these terms apply to all users and clients. In addition, we may terminate our agreement with you under these terms at any time by notifying you in writing (including by email) or without notice.


13. INTEGRATION CLAUSE

This agreement together with the privacy policy and any other legal notices published by Your Business Service Provider Dalight connections, shall constitute the entire agreement between you and Your Business Service Provider Dalight connections concerning and governs your use of the website and  services.


14. EVENTS / ACTIVITIES

As a participant in events and activities organised by us, you agree to the following:

  • You or your immediate caregiver must answer the pre-event questionnaire truthfully and to the best of your abilities
  • Keep all contact information with us accurate and up-to-date
  • We may request a review of our service with you every six months. You may request a review if you would like to make a change to the service received
  • Dalight Connection Care (a trading name for Dalight Connections Ltd) take our duty of care seriously and we are highly invested in your safety and wellbeing. We will do our very best to ensure your safety, mitigate risks and prioritise your well-being before and during activities, visits and events, however, Dalight connections is an event organiser and introductory agency, therefore, your safety and well-being are ultimately your responsibility and that of the primary self-employed carer/support worker/companion who is supporting you or your own carer/support worker/companion attending our event/activity with you.
  • Our events include opportunities for you to consume alcohol. You’re strongly advised to drink responsibly. We do not accept liability or responsibility for any repercussion as a result of excessive drinking
  • You must be an adult aged 18 or over. We only accept official photo identification such as a passport, driver’s license and national identity cards.
  • You must purchase your ticket before you participate in any event. Tickets purchased from third-party distributors and promoters will be redeemed at the start of the event.
  • Tickets and payments are non-refundable though in some cases could be used as credit at alternate dates at our discretion
  • We reserve the right to cancel an event at our discretion and for any reason. We will endeavour to communicate this as quickly as possible and make refunds or replace tickets where possible.
  • We reserve the right to change or modify our events without notice. We will endeavour to make comparable substitutes but accept no liability
  • Challenging Behaviour: Participants with challenging behaviour or a history of challenging behaviour are mandated to attend our event with their own support worker (1:1). Dalight Connections is happy to match said participant with a trained and vetted health and social care professional should you require one to attend our event
  • Dalight Connections does not accept responsibility for participants’ behaviour and we reserve the right to refuse entry or remove participants who exhibit challenging behaviour, are drunk, aggressive, anti-social, disorderly or abusive. We will not be refunding tickets or covering any additional cost incurred by the participant as a result
  • The participants will agree to indemnify us and all our associates and representatives against any third-party claims as a result of the participant's behaviour and actions. Any damages or loss caused by the participant is solely the participant's responsibility.
  • All venues on our event roster reserve the right to refuse entry and remove participants for challenging behaviour as aforementioned and we do not accept liability and will not be refunding ticket or payment
  • At all our events, trained, polite and non-intrusive photographers and videographers operate. We own the copyright to all pictures or videos taken. If you don't want to be in any pictures or videos please let us know by email or have a word with us at the start of the event
  • All our prices are reviewed from time to time and at least once per calendar year. Changes in pricing and modes of payment are at our sole discretion. We will notify you via email at least a month in advance.
  • For active members of the Activity Club, funders and customers will be notified should funding be withdrawn
  • We process the personal data of customers and funders in compliance with data protection laws and per our privacy policy. Please see our Privacy Policy and our broader Terms and Conditions on our website www.dalightconnections.com
  • Email us at info@dalightconnections.com if you have any problems or complaints. We also welcome compliments, please email us those too.

15. WELFARE CALLS

By subscribing to our Welfare Calls Service with Dalight connections, you agree to the following:

  • Dalight Connections Ltd is not an emergency or medical service
  • Dalight Connections Ltd is not a substitute for professional or medical help with mental health and well-being. 
  • We will be contacting the referred person to confirm they want to receive calls from our Welfare Calls service. We will schedule suitable times and get their consent to keep their personal information. Please be advised that once we have reached the customer the content of their calls is confidential and we will not be sharing their information with you without their consent
  • Provide two contacts of persons who have agreed to be contacted and be responsible for arranging an in-person visit with the customer when we are unable to reach the customer on the telephone. 
  • We will call the customer on the agreed days and at the agreed time. On the occasion when changes are necessary, we will provide the customer with as much notice as possible
  • To build relationships we will make sure regular staff work with each customer
  • You will answer every scheduled call with the grace of two follow-up calls (15 minutes apart)
  • You will inform us if you will be outside the United Kingdon on your scheduled call days
  • Keep all contact information with us accurate and up-to-date
  • The named persons will be contacted and they will arrange an in-person visit should the customer miss their scheduled call and the two follow-up calls (15 minutes apart) or their response during their call give us concern. Should we be unable to reach your contact persons or they are unable to make contact with you in person (all within four hours of the initial call), we will escalate to the police. The police will be the ultimate escalation and we will have no more liability beyond that notification
  • If you do not have a contact person, you must speak to us on your scheduled call days. We will escalate to the police immediately should you miss your scheduled call and the two follow-up calls (15 minutes apart). The police will be the ultimate escalation and we will have no more liability beyond that notification
  • Either party can end the Welfare Call service subscriptions at any time via email. Email us at info@dalightconnections.com to cancel your subscription. You will need to provide a minimum of 20 calendar days’ notice before your next Direct Debit date to prevent further Direct Debit payment collection.
  • We review our Welfare Call service with the customer every six months. You may request a review if you would like to make a change to the service received
  • The funder or customer should email us at info@dalightconnections.com if you have any problems or complaints. We also welcome compliments, please email us those too.
  • We process the personal data of customers and funders in compliance with data protection laws and per our privacy policy. Please see our Privacy Policy and our broader Terms and Conditions on our website www.dalightconnections.com
  • All our prices are reviewed from time to time and at least once per calendar year. Changes in pricing and modes of payment are at our sole discretion. We will notify you via email at least a month in advance.
  • Breaks in the provision of service for less than a month will continue to be charged at the usual monthly rate. 
  • Funders and customers will be notified should funding be withdrawn or subscription be cancelled

16. FORCE MAJEURE

Your Business Service Provider Dalight connections shall not be liable for any failure or non-performance of services due to causes beyond its reasonable control, including but not limited to acts of civil authorities, acts of military authorities, riots, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances and which may prevent the performance of our services.

17. ARBITRATION

You acknowledge and agree that any dispute, claim or controversy arising out of or relating to these terms and conditions, whether for breach, termination, performance, interpretation or validity, as well as any aspect of your use of the website and our services, shall preferably be resolved by binding arbitration between you and Your Business Service Provider Dalight connections. Notwithstanding the foregoing, the right of both parties to bring individual claims in a court of competent jurisdiction if they deem it necessary remains.

In the event of any dispute arising in connection with your use of the website and our services or breach of these terms and conditions, both parties agree to seek resolution through an arbitration process. This process will be conducted before a recognised and respected arbitration entity, selected by mutual agreement of both parties and following the applicable commercial arbitration rules.

In addition, the user agrees, to the extent permitted by applicable law, not to initiate, join or participate in class action lawsuits associated with any claim, dispute or controversy that may arise in connection with the use of the website and our services. This commitment seeks to promote a more agile and personalised resolution of any conflict, favouring arbitration and individual legal actions over class actions.


18. APPLICABLE LAW AND JURISDICTION

These terms and conditions shall be governed by and construed in accordance with the laws of the United Kingdom. Any dispute relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of the United Kingdom. This applies unless binding arbitration is agreed in the relevant section.

Your use of our website and services is conditioned upon your acceptance of and compliance with all of the terms and conditions set forth. This authorisation to use our services does not extend to jurisdictions where these provisions are not respected or applied.

Our commitment to compliance with these terms is strictly governed by applicable laws and legal process. Importantly, these terms do not restrict our ability to comply with legal or governmental requirements, including but not limited to those related to law enforcement and the use of our website. Information provided or collected in connection with the use of the website will be subject to these requirements.

In the event that any provision of these terms and conditions is declared invalid, illegal or unenforceable by a court or competent authority, such decision shall not affect the validity or enforceability of the remaining provisions.
